2012 Terms and Conditions


Definitions:

The Company is Spectrum Training Services – and operates via Http://www.spectrain.co.uk and Http://www.spectrain.com.jo
The definition of In-house course refers to development courses offered by Spectrum Training Services for an individual corporate customer at a location specified by the customer.

The definition of Consulting is professional advice and analysis offered by Spectrum Training Services at locations specified by the customer.
Customer means the person, or corporation identified as requesting the services of Spectrum Training Services.
Confirmation requires a legally binding contract instructing Spectrum Training Services to invoice the Customer. Course Materials includes pre and post course documentation, listings instructions and statements in either machine-readable or printed form.

General

These conditions shall be deemed to be incorporated in all contracts. In the case of any inconsistency with any order or letter or correspondence sent by the Customer to Spectrum Training Services these Conditions shall prevail unless expressly varied in writing and signed by a director on behalf of Spectrum Training Services.

All contracts will be construed in accordance to the laws of England & Wales and that the English courts shall have exclusive jurisdiction to hear any disputes relating to the agreement. 

The counterparty  will submit to the jurisdiction of the English courts.

Warranty

Spectrum Training Services warrants that all Courses and Consulting supplied will be conducted in a professional manner in accordance with internationally recognised practices, models and standards.


Spectrum Training Services warrants that it will provide appropriately qualified and experienced instructor(s) and consultant(s) to deliver public and In-house courses and consulting expertise using suitable and appropriate materials, including course materials.

Spectrum Training Services warrants that it will not knowingly include any copyright material in its Course Material without a license or without the consent of the copyright owner.

Spectrum Training Services warrants that all personnel provided by Spectrum Training Services are contracted to deliver on behalf of Spectrum Training Services

Extent of Services

Spectrum Training Services reserves full control of how its personnel will carry out its professional training.
The contents of course outlines are intended for general guidance only and do not form any part of a contract Spectrum Training Services the right to make any reasonable variations to courses (including the content of the courses) without notice. to respond to the learning needs of learners.


All Public and In-house Courses are delivered solely in the English language and delegates must be sufficiently proficient with the English language before attending a Course.

Information, Confidentiality and Publicity

Spectrum Training Services are registered under the Data Protection Act. We shall observe the confidentiality of any information supplied to us by the Client, and not disclose it to any other person without prior written permission, both during the term of this Agreement and after its termination, unless it has become public knowledge or is already in the public domain

Compatibility

Goods/ services are not supplied for evaluation purposes or on a trial basis. Samples may occasionally be supplied to provide an indication of the high standards of our materials. Customers are responsible for verifying suitability and compatibility of goods before purchasing. Any advice given by any agent of Spectrain concerning the suitability and compatibility of any item shall be understood as estimation and shall not be interpreted by the buyer as an explicit endorsement of the suitability or compatibility of the item. Claims made by agents should be verified by a representative of Spectrum Training Services.

Authorization and Obligations

All bookings for Courses must be supported by written confirmation in the form of a purchase order.
For in-house programmes, the Customer certifies that unless otherwise notified to and agreed with Spectrum Training Services all delegates attending a course are employed directly by the customer.

In all cases the Customer undertakes to bring these terms and conditions to the attention of the Delegates attending a Public Courses are suitably qualified and experienced to attend the Course in accordance with the published prerequisites.

Fees/Charges

Fee’s are inclusive of tuition, course materials and if appropriate assessment diagnostics. The fee does not include any travel, accommodation or living expenses which the Delegate may incur in attending the course.

Spectrain is registered for VAT in the UK.

Prices quoted exclude VAT at the current rate which will be added at the current rate 20%.
Spectrum Training Services reserves the right to charge interest on late payments at 2.5% per late payment day

Travel Fees

Where airline travel is required, Spectrain expect all fights and accommodation to be paid for in advanced and tickets/ room booking confirmation to be sent at least 10 days in advance.

Visa Requirements

Fees associated with obtaining visa entry will be added to our fee. Where a visa is required and cannot be purchased on entry into a country. Spectrain will require the relevant letters of invitation to be provided. Spectrain will employ the services of an agent to secure the visa with the appropriate embassy and the fees for that service will be passed on to the client

Medical Requirements

Please Note: Vaccinations and medication requirements that are requirements of entry to certain countries should be arranged 4-6 weeks prior to travel. Fees for vaccinations if required will be passed on to the client

Payment Terms

Spectrum Training Services will raise an invoice upon receipt of a confirmation our terms are 20 days net from the date of the invoice.

Substitutions, Transfers and Cancellations

The Customer may substitute a Delegate on a Course upon notification at no additional charge subject to the new Delegate meeting the prerequisites.
In normal circumstances, a provisional booking will be held on Spectrum Training Services booking system for no more than 3 working days.

Disputes

In the event of disputes or disagreements concerning this Agreement and/or the work undertaken or to be undertaken or services provided or to be provided  under or through it or by reason or virtue of it, Spectrum Training Services agree to use their best efforts but no more than reasonable efforts to resolve such dispute or disagreement immediately between themselves at senior level. . All contracts will be construed in accordance to the laws of England & Wales and that the English courts shall have exclusive jurisdiction to hear any disputes relating to the agreement.  The counterparty will submit to the jurisdiction of the English courts.

In the event of legal action the contract is to be construed in accordance to the laws of England & Wales and that the English courts shall have exclusive jurisdiction to hear any disputes relating to the agreement. The counterparty will submit to the jurisdiction of the English courts.

Cancellations and Transfer Policy

The following cancellation policy will apply to confirmed bookings:


The Customer will be entitled to a refund of any fee paid to Spectrum Training Services in the event of a cancellation or any change to the course date or significant change in venue but shall not otherwise be entitled to compensation or costs or damages arising from such a cancellation.

Prerequisites and Admission


Spectrum Training Services reserves the right to refuse admission to any person whom it considers in its absolute discretion to be unsuitable for admission to a Course.

Copyrights

Copyright and all intellectual property rights for all Course Materials shall remain the property of Spectrum Training Services or the trading partner of Spectrum Training Services responsible for developing that course.

The Customer agrees not to reproduce, sell, hire or copy Course Materials (in whole or in part) and not to use such materials except for the purposes of post course reference
